Client Service Agreement

This Client Service Agreement (“Agreement”) becomes effective upon acceptance by you (“Client”) of any services provided by Toast Media FZCO, a company registered in Dubai, United Arab Emirates, and/or Oliver.com (collectively, the “Service Provider”). By purchasing, subscribing to, or using our services, you agree to all terms stated below.

This Agreement remains in effect until terminated in accordance with its terms.

1. Service Terms

1.1 No Refund Policy
All sales are final. Due to the digital nature of our work and the instant value delivered (strategy, content, PR, consulting, and link services), no refunds are issued under any circumstances — including cancellations, automatic renewals, unused services, or changes in your situation.

1.2 Professional Judgment
You acknowledge that the Service Provider will use professional expertise to select platforms, create content, choose link placements, and make strategic decisions. All decisions regarding SEO, PR, content, and link opportunities are at our sole discretion.

1.3 Content Limitations
Packages may include a defined number or type of SEO-optimised content pieces. No guarantees are provided regarding search engine rankings, traffic growth, or specific performance outcomes.

1.4 No Edits or Rewrites
All delivered content is final. Edits, rewrites, or additional versions fall outside the scope of service unless mutually agreed in writing.

1.5 Content Creation Discretion
The Service Provider determines all content formats, tone, structure, keyword focus, length, and publishing decisions.

1.6 Optional Consulting
If consulting is included, it is provided as an advisory-only benefit. Implementation, fixes, or guaranteed resolution of issues are not included.

1.7 Sales Copy & Deliverables
Benefits outlined in our sales copy or service pages apply in conjunction with these terms. Metrics such as DR, estimated traffic, or anchor text variation are approximate only and not guaranteed.

1.8 Client Focus Pages
The Client must provide focus pages, URLs, or target assets for optimisation or linking. Recommendations may be provided, but the Client retains full responsibility for final selection.

2. Subscription Service Agreement & Cancellation Policy

2.1 Automatic Renewal
All subscriptions renew automatically on a monthly basis unless cancelled by the Client.

2.2 Payment Responsibility
The Client agrees to maintain a valid payment method and accepts full responsibility for recurring charges.

2.3 Cancellation Notice
To avoid renewal charges, cancellations must be submitted at least two (2) working days prior to the next billing date. Late cancellations apply to the following cycle.

2.4 No Refunds on Renewals
Once a renewal has been processed, no refunds will be issued for any reason.

3. Liability Limits

3.1 Maximum Liability
The Service Provider’s total liability to the Client is limited to the lesser of:
- six (6) months of service fees, or
- USD $2,000 (or AED equivalent).

3.2 No Guarantee of Results
SEO, PR, and digital marketing outcomes cannot be guaranteed. The Service Provider is not liable for ranking drops, algorithm changes, traffic loss, or implementation errors.

3.3 Indemnification
The Client indemnifies the Service Provider against claims arising from Client’s content, website, business activities, or misuse of deliverables.

4. Legal Compliance & Content Approval

4.1 Client Responsibility
The Client is solely responsible for ensuring their website, business, and provided materials comply with applicable laws and regulations.

4.2 Jurisdiction
This Agreement is governed by the laws of Dubai, United Arab Emirates. Any disputes shall be resolved exclusively in Dubai courts.

4.3 Ownership of Material
The Client must own or have legal authorization to use any trademarks, intellectual property, or copyrighted material supplied to the Service Provider.

4.4 Exclusions on Discounts & Offers
Unless explicitly stated in writing, promotions or discounts do not include consulting, content writing, interlinking, technical work, or custom strategy.

5. Acceptance of Terms

By checking the box, submitting an order, paying an invoice, or subscribing, you confirm that you have read, understood, and agreed to all terms in this Agreement.
